General Terms and Conditions (GTC) – Bordstein-Druck

1. Scope and General Provisions
These General Terms and Conditions (GTC) apply to all services, sales and deliveries by Bordstein-Druck, in particular in the areas of textile printing, screen printing, transfer printing and promotional printing, as well as to online orders placed via our web shop.
By placing an order or awarding a contract, you accept these GTC. Deviating terms and conditions of the purchaser apply only if we have expressly acknowledged them in writing.
Our offering is aimed at companies, public authorities, clubs and private individuals.
We reserve the right to refuse orders without stating reasons, in particular where there are doubts about the customer’s solvency.
2. Conclusion of Contract
2.1. A quote or online order is deemed a binding offer to the customer. The contract is only concluded upon our written order confirmation, delivery of the invoice, dispatch confirmation or delivery of the goods.
2.2. Verbal agreements or changes are only valid if they have been confirmed in writing.
2.3. The contract data and order information are stored and can be viewed on request.
2.4 All offers of any kind are subject to prior sale. Bordstein-Druck accepts no liability if items from our suppliers are sold out or removed from the range.
3. Prices
All prices are stated in Swiss francs (CHF) by default and are exclusive of statutory VAT. We reserve the right to change prices, in particular due to raw material prices or exchange rate fluctuations.
Discounts, special terms or promotions apply only for the period stated in each case.
4. Shipping and Delivery Costs
Shipping costs are borne by the customer and are charged depending on the effort involved:
5. Delivery and Delivery Times
5.1. Deliveries are made ex works at the purchaser’s risk. We select the packaging and shipping method.
5.2. The usual delivery time is approx. 5 to 10 working days from clarification of the order. Delivery dates are non-binding unless they have been expressly confirmed as fixed dates.
5.3. Partial deliveries and customary over- or under-deliveries of up to 10 % are permitted for orders of 50 pieces or more.
6. Payment Terms and Retention of Title
6.1. Payment is generally made in advance or on account.
6.2. Invoices are due within 30 days of the invoice date without deduction. In the event of late payment, default interest of 5 % p.a. and reminder fees (CHF 8.00 for the first reminder, CHF 12.00 for each further reminder) will be charged.
6.3. The delivered goods remain the property of Bordstein-Druck until payment has been made in full.
6.4. In the event of justified doubts about the customer’s solvency, we reserve the right to make deliveries only against advance payment.
7. Withdrawal / Right of Return
8. Warranty
8.1. Defects must be reported in writing within 7 days of receipt of the goods. Hidden defects must be reported immediately upon discovery, but no later than 2 months after delivery.
8.2. In the case of a justified and timely complaint, we will, at our discretion, rectify the defect or provide a replacement delivery within a reasonable period. Further claims, in particular for damages, are excluded unless there is gross negligence or intent on our part.
8.3. Minor deviations in colour, material or print quality that are due to technical reasons or are customary do not constitute a defect.
9. Liability
9.1. Any liability for indirect damage, consequential damage or lost profit is excluded – except in cases of gross negligence or intent.
9.2. For print files supplied by the customer, we accept no liability for errors in content or legal errors. By submitting the files, the customer warrants that they hold the necessary copyright and usage rights.
10. Copyright and Intellectual Property Rights
10.1. We reserve all copyrights to all drafts, layouts and designs. Any further use, even in part, requires our written consent.
10.2. The customer is solely liable for any infringements of intellectual property rights arising from submitted artwork, logos or content. The customer indemnifies Bordstein-Druck against all third-party claims.
11. Data Protection
Personal data is processed in accordance with our separate Privacy Policy, which forms an integral part of these GTC.
12. Applicable Law and Place of Jurisdiction
12.1. Swiss law applies exclusively, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).
12.2. The place of jurisdiction is the registered office of Bordstein-Druck in Böckten BL, unless another mandatory statutory place of jurisdiction applies.
13. Final Provisions
13.1. Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that comes closest to its economic purpose.
13.2. Amendments or additions to these GTC must be made in writing.
